Deutsche Version: AGB These Terms of Service govern your use of NeatPass, an iOS application that converts tickets, documents, and files into Apple Wallet passes. By using the app, you agree to these terms. Effective upon first use of the application.

1. Acceptance of Terms

Effective Date: January 19, 2026

By downloading, installing, or using NeatPass (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App. These Terms constitute a legally binding agreement between you and the developer of NeatPass.

The App is operated by an independent developer based in Germany. Contact information and legal details are available in the App's Impressum section and at the end of these Terms.

2. Relationship to Apple's Terms

If you obtained the App via the Apple App Store, your use of NeatPass is also subject to Apple's Licensed Application End User License Agreement ("Apple Standard EULA"). These Terms supplement the Apple Standard EULA. In the event of a conflict between these Terms and the Apple Standard EULA, the Apple Standard EULA prevails to the extent required by Apple's rules.

Apple Not a Party; No Support Obligations

You acknowledge that this agreement is between you and the developer, not Apple, and that Apple has no obligation whatsoever to provide any maintenance or support for the App.

Developer Handles Claims; Apple Not Liable

The developer, not Apple, is solely responsible for the App and for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including product liability claims, compliance with legal or regulatory requirements, and claims under consumer protection or privacy laws.

Intellectual Property Infringement

In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, the developer, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

Apple as Third-Party Beneficiary

You acknowledge and agree that Apple and its subsidiaries are third-party beneficiaries of this agreement and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce this agreement against you as a third-party beneficiary.

Export Compliance

You represent that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country and that you are not listed on any U.S. Government list of prohibited or restricted parties.

3. Conformity and Updates

The developer will provide such updates (including security updates) and bug fixes as are necessary to keep NeatPass in conformity with these Terms and with statutory requirements for the period required by applicable law, taking into account the nature of the App and the one-time purchase model.

4. Description of Service

NeatPass is an iOS application that converts tickets, documents, and other files (such as PDFs) into Apple Wallet passes. The App uses on-device machine learning to extract relevant data (such as title, date, location, and barcodes) and generates Wallet-compatible passes.

Key features include: conversion of static tickets and documents into Wallet passes; on-device processing for privacy; integration with iOS share sheet and Apple Wallet; and a simple one-time purchase model with an optional free first conversion.

5. License Grant

Subject to your compliance with these Terms, the developer grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on iOS devices that you own or control, solely for your personal, non-commercial purposes.

You may not: (a) copy, modify, or distribute the App; (b) reverse engineer, decompile, or disassemble the App; (c) rent, lease, lend, sell, or sublicense the App; (d) remove any proprietary notices from the App; or (e) use the App for any illegal purpose.

6. System Requirements

The App is designed and tested for recent iPhone models with a Neural Engine and sufficient RAM (for example, iPhone 12 or newer) running iOS 18 or later. The App may work on older or less powerful devices, but performance and functionality are not guaranteed.

7. Pricing and Payment

The App offers one free conversion to allow you to evaluate its functionality. After the free conversion, continued use requires a one-time purchase through the Apple App Store. Pricing is set through the App Store and may vary by region.

All payments are processed exclusively through Apple's App Store. The developer does not collect or process any payment information directly. Refund requests must be directed to Apple in accordance with Apple's refund policies.

There are currently no subscriptions or recurring in-app purchases.

Any statutory right of withdrawal (Widerrufsrecht) in connection with your purchase of the App exists, if at all, only in relation to Apple as the seller of the digital content. These Terms do not limit any such rights you may have vis-à-vis Apple.

8. Data Processing and Privacy

8.1 On-Device Processing

NeatPass is designed with privacy as a core principle. All document processing, including machine learning analysis and data extraction, occurs entirely on your device. Your documents, tickets, and personal data are not uploaded to external servers for processing.

8.2 Pass Signing

To create valid Apple Wallet passes, the App must digitally sign each pass with a certificate. During pass signing, the App transmits a cryptographic hash manifest and technical metadata (such as your IP address) to a secure signing server hosted on Amazon Web Services (AWS). The server uses this information only to generate a digital signature and returns it to the App. The server does not receive the original document contents or ticket data. No pass contents are stored on the server; technical logs are kept only as necessary for security and system integrity and are automatically deleted after a short period.

8.3 Apple Analytics and Crash Reporting

The App uses Apple's built-in analytics and crash reporting services. This data is collected and processed by Apple in accordance with Apple's Privacy Policy. The developer receives only aggregated, anonymized data to improve App stability and performance. You can opt out of sharing analytics data in your iOS device settings under Privacy & Security > Analytics & Improvements.

8.4 Local Storage

The App stores user preferences and settings locally on your device. This data is not synced via iCloud and is not transmitted to any external servers. You can delete this data by uninstalling the App.

8.5 No Email Collection

The App does not collect email addresses or any other contact information. There is no account creation or registration required to use the App.

8.6 GDPR Compliance

For users in the European Union, data processing complies with the General Data Protection Regulation (GDPR). The legal basis for processing data during pass signing is the performance of the contract (Art. 6(1)(b) GDPR) - specifically, to provide you with the service you requested. For Apple analytics, the legal basis is legitimate interest (Art. 6(1)(f) GDPR) in improving App quality, balanced against your ability to opt out. Our signing server is hosted on Amazon Web Services (AWS). AWS is certified under the EU-U.S. Data Privacy Framework, which the European Commission has recognized as providing an adequate level of data protection for transfers of personal data to the U.S. Where necessary, we also rely on the EU Standard Contractual Clauses as approved by the European Commission.

9. User Content and Ownership

You retain all ownership rights to the documents and files you process using the App. The developer does not claim any ownership, license, or rights to your content. Your documents are processed solely to provide you with the requested Wallet pass and are not accessed, viewed, or stored by the developer.

10. Prohibited Uses

You agree not to use the App for any unlawful purpose or in violation of these Terms. Specifically, you agree not to:

  • (a) Create fraudulent, counterfeit, or falsified Wallet passes;
  • (b) Modify or alter legitimate tickets or documents to misrepresent their content;
  • (c) Use the App to gain unauthorized access to events, venues, or services;
  • (d) Distribute, sell, or transfer Wallet passes created from documents you do not own or have rights to;
  • (e) Use the App in any manner that violates applicable laws or regulations;
  • (f) Attempt to circumvent any security measures or access restrictions of the App.

You acknowledge that you are solely responsible for ensuring that your use of the App and any Wallet passes created comply with all applicable laws and the terms of the original tickets or documents.

11. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

The developer does not warrant that: (a) the App will meet your specific requirements; (b) the App will be uninterrupted, timely, secure, or error-free; (c) the results obtained from use of the App will be accurate or reliable; (d) any Wallet passes created will be accepted by venues, event organizers, or third parties; or (e) any errors in the App will be corrected.

Nothing in this Section 11 limits any mandatory statutory rights you have as a consumer under applicable law.

12. Limitation of Liability

12.1 Unlimited Liability

The developer is liable without limitation for damages resulting from: (a) intent or gross negligence; (b) injury to life, body, or health; (c) claims under the German Product Liability Act (Produkthaftungsgesetz); and (d) where the developer has expressly assumed a guarantee.

12.2 Limited Liability for Slight Negligence

For damages caused by slight negligence, the developer is only liable for breach of an essential contractual obligation (Kardinalpflicht), i.e. an obligation whose fulfillment is essential for the proper performance of the contract and on whose fulfillment you may regularly rely. In such cases, liability is limited to the foreseeable damage typical for this type of contract.

12.3 Exclusion of Further Liability

Any further liability of the developer is excluded.

12.4 Statutory Rights

Mandatory statutory rights of consumers, in particular your statutory warranty rights (gesetzliche Mängelrechte), remain unaffected.

IMPORTANT: The original ticket or document remains valid regardless of whether a Wallet pass functions correctly. You are strongly advised to retain your original tickets and documents as backup.

13. Indemnification

You agree to indemnify and hold harmless the developer from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) to the extent they arise from: (a) your unlawful use of the App; (b) your violation of these Terms; or (c) your violation of any third-party rights, including intellectual property rights, in connection with documents or Wallet passes you create or use through the App.

14. Intellectual Property

The App, including its design, features, code, and content (excluding your user content), is owned by the developer and is protected by copyright and other intellectual property laws. These Terms do not grant you any rights to the developer's logos or other brand features.

"NeatPass" and associated logos are owned by the developer. Apple, Apple Wallet, iOS, and iPhone are trademarks of Apple Inc. Amazon Web Services and AWS are trademarks of Amazon.com, Inc. These Terms do not grant any license to use third-party trademarks.

15. Third-Party Services

The App integrates with Apple Wallet and relies on Apple's App Store for distribution and payments. Your use of these services is subject to Apple's terms and conditions. The developer is not responsible for the availability, functionality, or policies of third-party services.

16. Termination

You may terminate your use of the App at any time by uninstalling it from your device. The developer may terminate or suspend your access to the App immediately, without prior notice, if: (a) you breach these Terms; (b) you use the App for fraudulent or illegal purposes; or (c) continued provision of the App becomes impractical or unfeasible for legal or technical reasons.

Upon termination, your license to use the App is revoked. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, limitation of liability, and dispute resolution.

17. Changes to Terms

The developer reserves the right to modify these Terms at any time. Changes will be communicated through an in-app notification. Your continued use of the App after such notification constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the App.

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions.

For disputes arising out of or relating to these Terms or the App, the courts of Munich (Amtsgericht München or Landgericht München I, as applicable) shall have jurisdiction. However, if you are a consumer habitually resident in the European Union or the United Kingdom, you retain the right to bring proceedings in your country of residence, and you benefit from any mandatory provisions of the law of your country of residence that cannot be derogated from by agreement.

Nothing in these Terms affects your statutory rights as a consumer under applicable consumer protection laws.

19. Dispute Resolution

The developer is not obligated and not willing to participate in dispute resolution proceedings before a consumer arbitration board.

20. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced by a valid provision that most closely reflects the original intent.

21. Entire Agreement

These Terms constitute the entire agreement between you and the developer regarding the App and supersede all prior agreements and understandings.

22. Language Versions

These Terms are available in English and German. In the event of any conflict between the German and English versions of these Terms, the German version shall prevail for users located in Germany, Austria, and Switzerland.
